Terms of Sale
The terms that apply to every order placed with Bramante Biologics, what “list price” means, how payment and shipping work, the Research Use Only restriction, and what happens if a lot doesn’t meet its CoA.
- List price on the page is the price you pay, checkout re-verifies it on our servers, so it can’t drift from a stale page.
- Cards charge at order; approved institutions can get PO/Net-30 terms after a quick credit check.
- You own the shipment once the carrier picks it up, inspect every order on arrival and report damage or shortage within 5 business days, or a failed-spec claim within 30 days.
- Everything we sell is Research Use Only, not for diagnostic, therapeutic, or human/animal use, and biosafety and downstream compliance are on you.
- If a lot doesn’t meet its CoA, we replace it or refund it, and our liability is capped at what you paid. That’s the deal.

Scope
These Terms of Sale govern every order for physical products, recombinant proteins, media, enzymes, chromatography resins, and other reagents, placed with Bramante Biologics Corporation, a company with its principal place of business at 160 Alewife Brook Parkway, STE 1316, Cambridge, MA 02138, USA(“Bramante,” “we,” “our,” or “us”), through bramantebio.com, by purchase order, or by any other channel we accept. They apply unless superseded by a signed agreement between you and Bramante covering the same order, and alongside our general Terms of Service, which govern use of the website itself.
These Terms of Sale cover physical product only. Access to and use of LabKick, our software at app.bramantebio.com, is governed by the order form, subscription terms, or agreement you accept when you sign up for it, not by this page.
Orders & acceptance
A submitted order, through the cart, a purchase order, or by email, is an offer to buy, not a binding sale. A contract is formed only when we accept the order, which we do by confirming it in writing (an order confirmation email or countersigned purchase order) or by shipping the product, whichever comes first.
We may decline or cancel an order before acceptance for any reason, including a pricing or listing error, product unavailability, a failed export-control or credit check, or suspected fraud. If we do, we’ll tell you why and refund any payment already collected.
Pricing & the price you pay
List price is published on every product page, no quote is required to see what something costs. Prices are in U.S. dollars, exclude tax, duties, and shipping unless stated otherwise, and are set per pack size (SKU), not negotiated per customer.
- Prices in the catalog are current as of the moment you view the page and may change without notice as our costs or supply change.
- When you check out, every line in your cart is re-priced against our live catalog on our servers, not the price your browser cached when you added the item, and the correct cold-chain shipping line is added for what’s in your order. The total you’re asked to pay reflects that server-side re-pricing, so the amount charged is always the current list price at the moment your order is accepted, not a stale or manipulated price from an earlier page view.
- Volume, institutional, or distributor pricing, where available, is arranged directly with us and documented in writing (a signed quote or order confirmation) before it applies to an order.
Payment methods
We accept major credit and debit cards at checkout, processed through a third-party payment processor under its own terms. We never see or store your full card number. Card payment is captured at order acceptance unless the product ships made-to-order, in which case we may capture at shipment instead.
Purchase order and Net-30 terms are available to institutional buyers, subject to the credit approval described below. Send a PO to support@bramantebio.com or through Contact, or apply for standing Net-30 terms from Account. Approved accounts are invoiced at shipment, net 30 days from the invoice date. Wire and ACH are available for larger orders on request. Late invoices may accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law, and an account with a pattern of late payment may be moved back to card-at-order terms.
Credit approval
A first-time purchase order from an institution goes through a short credit check, typically a couple of standard trade or bank references, before we extend Net-30 terms. We may set a credit limit, require prepayment or a deposit on a large or first order, or decline to extend PO terms at our discretion. Once an institution is approved, later POs from that same institution move straight to fulfillment without a repeat check, and we may periodically re-review an account’s standing as order volume or payment history changes.
Taxes & exemptions
Card checkout on this site currently charges published product and shipping amounts without adding sales tax at payment. Where tax is due on your purchase, you are responsible for remitting any applicable use or sales tax to your jurisdiction. When we invoice (including purchase-order / Net-30 orders), or once automated tax collection is enabled at checkout, tax will be stated on the invoice or checkout total based on your shipping address and applicable law. Tax-exempt institutions should email a current certificate to support@bramantebio.comwith the organization name; once it’s on file we apply it to orders placed under that organization going forward. We generally cannot retroactively refund tax already collected and remitted on an earlier order.
Custom & made-to-order products; quotes
Some products are made to order, a custom conjugate, a nonstandard pack size, a quantity above our largest published pack, rather than shipped from stock. Ask through Contactand we’ll send a written quote, typically within 24 hours, stating price, specification, and lead time. A quote is valid for the period stated on it (30 days if none is stated) and is not binding on either side until you accept it and we confirm the order in writing.
Because custom and made-to-order items are produced specifically for your order, they generally cannot be canceled or returned once production has started, except for a warranty claim under Product warranty, below. If you need to cancel before production starts, contact us. We’ll confirm in writing whether it’s still possible and any cost already incurred.
Shipping, delivery windows, title & risk of loss
Orders ship from our facility in Cambridge, MA. In-stock items ship the same or next business day when confirmed before our published order cutoff (see Ordering & payment and Shipping & cold chainfor the current cutoff time and any change to it); made-to-order items ship after the lead time stated in their quote or product page. Domestic transit typically runs 1–2 business days once a shipment leaves our dock.
Published lead times and transit windows are estimates, not guarantees, carrier delays happen. If we become aware we’ll miss a stated window, we’ll tell you and give you a corrected estimate rather than let you find out from a late package. If a missed window compromises the temperature integrity of a cold-chain shipment, that’s handled as a damaged or warm-arrival claim under Inspection, damage & shortage claims, below, a free replacement or credit, not just an apology.
Title and risk of loss pass to you at the carrier’s pickup (FOB shipping point) unless your order confirmation states otherwise. That means loss or damage in transit is a carrier claim, which we will help you file, see Shipping and Returns & guarantee.
Cold-chain classes & dry ice
Every product carries one of three cold-chain classes, shown on its own datasheet, that determines how it’s packaged and shipped:

Dry-ice shipments are dangerous goods, declared UN1845, Class 9 (miscellaneous dangerous goods) under IATA and 49 CFR hazmat rules. We handle the classification, labeling, and packaging; no special handling or license is required on your end to receive one, open it promptly and follow the venting instructions printed on the carton.
Inspection, damage & shortage claims
Inspect every shipment when it arrives. Confirm the contents match your order confirmation, and for cold-chain shipments, check the included temperature indicator and confirm the product arrived appropriately cold or still frozen on dry ice, then store it immediately at the condition labeled on the product.
Report damage, shortage, a mis-picked item, or a warm/thawed cold-chain arrival within 5 business days of delivery.Report a claim that the product failed the specification on its own Certificate of Analysis within 30 days of delivery. Claims reported outside these windows will still be reviewed, but approval isn’t automatic, cold-chain evidence like temperature indicators and packaging condition is only useful while it’s fresh. Returns, replacements & our guarantee
We manufacture and release every lot against a published specification. If what arrives doesn’t hold to that spec, doesn’t match what you ordered, or doesn’t arrive intact, we replace it or credit you. That’s the guarantee, and it’s how we cover a failed-spec lot, a damaged or warm arrival, a mis-picked item, or an order error on our end, subject to the claim windows above.
The guarantee doesn’t cover a product that performed to its published spec but wasn’t suited to your application, damage or degradation from storage or handling after delivery, or ordinary change of mind. Because most of our catalog is cold-chain shipped and stability-sensitive once it leaves our facility, and because custom and made-to-order items are produced specifically for your order, we generally can’t accept a return of temperature-sensitive or custom-formulated product outside a qualifying claim above. Unopened, ambient-stable, catalog-standard items may be eligible for a case-by-case exchange within 30 days, ask. Full detail and current exceptions are in Returns & guarantee.
Product warranty
We warrant that, at the time of shipment and until the labeled expiry date when stored and handled as directed, each product conforms to the specification we’ve published for it and to the Certificate of Analysis issued for that specific lot. This warranty runs only to the original purchaser and doesn’t cover damage from misuse, improper storage or handling after delivery, use past the labeled expiry, or a temperature excursion not reported within the inspection window above. Except as stated here, we make no other warranty, express or implied, including any warranty of merchantability or fitness for a particular purpose.
Exclusive remedy
If a product fails to conform under the warranty above, our sole obligation, and your exclusive remedy, is, at our option, to replace it with conforming material or to refund the price paid for the affected units. To make a claim, contact us within the timeframes in Returns & guaranteewith the catalog number, lot number, and a description of the issue. We’re not liable for indirect, incidental, or consequential damages, including lost time, lost data, or the cost of a failed experiment, arising from a nonconforming product, to the fullest extent permitted by law.
Research Use Only
Every product Bramante sells is labeled For Research Use Only (RUO). Our products are not for use in diagnostic or therapeutic procedures, and are not for consumption or administration to humans or animals. They are not manufactured, tested, or released under a diagnostic or clinical quality system, and we hold no clinical or diagnostic certification for them.
By placing an order you represent that you’ll use the product solely for research purposes consistent with this restriction, and that you won’t resell, relabel, or incorporate it into a diagnostic, therapeutic, cosmetic, or consumer product without Bramante’s prior written consent and, where applicable, the additional qualification that use would require. You’re responsible for the biosafety practices, institutional approvals, and regulatory compliance that apply to how you store, handle, and use the product in your own lab, and for any downstream application you put it to. We set the RUO restriction and publish what we know about the product; how you use it within that restriction is your call and your responsibility.
Export control & end-use restrictions
Products, software, and technical data on this site may be subject to U.S. export-control and sanctions law. You agree not to export, re-export, or transfer any Bramante product, directly or indirectly, to a destination, entity, or person prohibited by U.S. export-control or sanctions law, and not to use it in connection with any chemical, biological, nuclear, or missile end use restricted under those laws. You represent that you’re not located in, or a national or resident of, a country subject to U.S. embargo, and that you’re not named on any U.S. government restricted- or denied-party list. We may decline or cancel an order if an export-control or sanctions screen doesn’t clear.
Limitation of liability
To the fullest extent permitted by law, neither Bramante nor its officers, employees, or agents will be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or the cost of a failed experiment, arising from an order or product, even if we’ve been advised of the possibility. Our total liability arising from any single order, however framed (contract, warranty, negligence, or otherwise), will not exceed the amount you actually paid us for the product giving rise to the claim. This limitation doesn’t apply to a party’s indemnification obligations below, or to liability that can’t be limited by law, such as liability for our gross negligence or willful misconduct.
Indemnification
You agree to indemnify and hold Bramante, its officers, employees, and agents harmless from any third-party claim, loss, or expense (including reasonable attorneys’ fees) arising from your use or misuse of a product, any modification you make to it, any downstream product or application you incorporate it into, your violation of the Research Use Only restriction above, or your breach of these Terms of Sale, except to the extent the claim arises from our own breach of the warranty above or our gross negligence or willful misconduct.
Force majeure
Neither party is liable for a delay or failure to perform caused by events beyond its reasonable control, including natural disaster, extreme weather affecting carrier networks, pandemic, labor action, government action, or a supply-chain disruption affecting raw materials. The affected obligation is suspended for the duration of the event, and either party may cancel the affected order if the delay continues for more than 30 days.
Cancellations
You may cancel a standard, in-stock order before it ships by contacting us; once it has shipped, cancellation is handled as a return under Returns, replacements & our guarantee, above. A cold-chain or custom/made-to-order item that has entered production generally can’t be canceled, see Custom & made-to-order products, above. We may cancel an order, with a full refund of any amount collected, if the product becomes unavailable, its price was listed in error, or an export-control or credit check doesn’t clear.
Governing law & disputes
These Terms of Sale, and any order placed under them, are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. Any dispute arising from these Terms of Sale or an order will be brought exclusively in the state courts of Suffolk County, Massachusetts, or the federal courts for the District of Massachusetts sitting in Suffolk County, and you consent to personal jurisdiction and venue there.
Severability & entire agreement
If any provision of these Terms of Sale is found unenforceable, the rest remain in full effect, and the unenforceable provision will be read to accomplish its intent as closely as the law allows. These Terms of Sale, together with your order confirmation and, for custom work, your accepted quote, are the entire agreement between you and Bramante for that order, and supersede any prior proposal or understanding on the same subject, unless both parties have signed a separate written agreement stating that it controls.
Changes & contact
We may update these Terms of Sale as our business evolves; the version in effect when your order is accepted governs that order. We’ll post the current version here with a new “last updated” date.
