These Terms of Service ("Terms") govern your use of the website at bramante.bio and any other websites, forms, and informational resources we make available (collectively, the "Site"). The Site is operated by Bramante Biologics Corporation ("Bramante," "we," "our," or "us"), a Delaware corporation headquartered in Cambridge, Massachusetts.

By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. What's covered (and what isn't)

These Terms cover your use of bramante.bio as an informational website. They do not govern the purchase, lease, evaluation, or use of any Bramante instrument, reagent, software, or service. Those activities are governed by separate written agreements — typically:

• a Master Purchase Agreement, quotation, and order acknowledgement for the sale or lease of instruments and reagents;
• a Design Partner Agreement for participation in the Bramante design-partner program (including the supply of alpha or beta units, feedback, and pricing arrangements);
• a Software License or End-User License Agreement for any Bramante software, SDK, MCP server, or firmware delivered with an instrument; and
• a Service and Support Agreement for installation, calibration, parts, and on-site service.

In the event of any conflict between these Terms and a separate signed agreement covering the same subject, the separate signed agreement controls.

2. Eligibility and authority

• You must be at least 18 years old to use the Site.
• If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers both to you individually and to that organization.

3. Acceptable use

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms.
• Attempt to interfere with, probe, or disrupt the Site, its underlying infrastructure, or any user's use of the Site (including denial-of-service attempts, scraping at a rate that materially degrades the Site, introducing malware, or circumventing security or rate-limiting measures).
• Reverse engineer, decompile, or attempt to extract source code from any portion of the Site, except to the extent applicable law expressly permits despite this prohibition.
• Use any Bramante name, mark, logo, or trade dress in a way that suggests endorsement, sponsorship, or affiliation without our prior written consent.
• Misrepresent who you are, who you work for, or your authority to act on an organization's behalf.

4. Quotes, pricing, and product information

• Prices, specifications, lead times, and availability shown on the Site are informational and are subject to change without notice. They do not constitute an offer to sell, and they do not create a contract.
• A binding agreement to buy or sell an instrument or reagent is formed only when Bramante and the buyer have signed a quote, purchase order, or order acknowledgement covering that transaction.
• We make a reasonable effort to keep product information accurate but do not warrant that it is free from errors or omissions.

5. Design partner program

The design partner program is a limited, invitation-based engagement governed by a separate Design Partner Agreement. Information about the program on the Site is for general descriptive purposes only and does not itself create rights or obligations regarding alpha or beta units, pricing, exclusivity, or participation. Selection of, terms for, and pricing offered to design partners are at Bramante's discretion under that separate agreement.

6. Submissions and inquiries

When you contact us — by email, contact form, or other Site channel — you may share information about your laboratory, workflows, or interest in our products. We will use that information to respond to you, evaluate potential engagements, and run our business, as described in our Privacy Policy.

Unless we have signed a separate non-disclosure or evaluation agreement covering a particular communication, please do not send us confidential, proprietary, or trade-secret information through the Site or by unsolicited email. Any feedback, suggestions, or ideas you voluntarily send us through the Site (and not under such an agreement) may be used by Bramante for any purpose without obligation, attribution, or compensation, while you retain ownership of the underlying material.

7. Intellectual property

• The Site — including its text, graphics, logos, illustrations, photos, layouts, code, and other content — is owned by Bramante or its licensors and is protected by copyright, trademark, and other intellectual-property laws.
• Subject to your compliance with these Terms, Bramante grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your internal, non-commercial information purposes.
• You may not copy, modify, reproduce, republish, distribute, transmit, sell, or otherwise exploit any part of the Site for commercial purposes without Bramante's prior written consent, except that you may print or download a reasonable number of pages for your internal reference.

8. Third-party links and services

The Site may contain links to third-party websites, services, or resources. Bramante does not control and is not responsible for those third-party properties or for any content, products, or services made available through them. Your use of any third-party property is subject to that third party's terms and policies.

9. Disclaimer of warranties

THE SITE AND ITS CONTENTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BRAMANTE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT THE INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT. ANY WARRANTIES THAT APPLY TO BRAMANTE INSTRUMENTS, REAGENTS, SOFTWARE, OR SERVICES ARE SET OUT EXCLUSIVELY IN THE SEPARATE AGREEMENTS REFERENCED IN SECTION 1.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRAMANTE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE — WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY — EVEN IF BRAMANTE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BRAMANTE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THIS LIMITATION IS SEPARATE FROM, AND DOES NOT MODIFY, ANY LIMITATION OF LIABILITY SET OUT IN A SEPARATE PURCHASE, LICENSE, SERVICE, OR DESIGN PARTNER AGREEMENT, WHICH WILL CONTROL FOR THE SUBJECT MATTER OF THAT AGREEMENT.

11. Indemnification

You agree to defend, indemnify, and hold harmless Bramante and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your misuse of the Site, or your violation of any law or any right of a third party.

12. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you consent to the personal jurisdiction of those courts.

13. Modifications

We may update these Terms from time to time. The current version will always be available at this URL. Material changes will be reflected in the effective date above; your continued use of the Site after a change constitutes acceptance of the updated Terms.

14. Severability and entire agreement

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any separate written agreement we have signed with you, constitute the entire agreement between you and Bramante regarding the Site.
